Wholesale & OEM Policy

How OEM, ODM, white-label and contract-capacity programmes move from brief to production.

How it moves

Tap a checkpoint to trace the commercial path. The detailed clauses below expand only when you need them.

Policy at a glance

Scream Caffeine manufactures oral pouches and orally disintegrating film for other companies. Everything we make is made to a customer's brief and sold under a customer's brand. This page sets out who we work with, how a programme is structured, and the obligations on both sides.

01 Who we work with

We supply:

  • Brand owners launching or extending an oral-format range
  • Distributors and importers developing an own-label line for their territory
  • Established manufacturers requiring additional capacity or a format they do not run in-house

We do not sell to individual consumers, and we do not operate a retail or dropshipping programme. Enquiries must come from a registered business.

02 Programme types
Type What it means
OEM You supply the specification or reference; we manufacture to it under your brand
ODM We develop the formula and format from your brief and market target; you brand and own the finished product
White label You select from an existing developed formula and apply your own branding and packaging
Contract capacity You hold the formula and specification; we provide validated production capacity

Every programme runs through the same six checkpoints: brief, feasibility, formula R&D, sampling, pilot and QA, production.

03 Account application

Before we issue a quotation for a production programme, we ask for:

  1. Company registration details — registered name, business registration or company number, and country of registration
  2. Contact details for the commercial and technical leads
  3. Destination market or markets for the finished product
  4. Category, format and target specification, including intended active-ingredient level
  5. Indicative first-order volume and target launch timing

We reserve the right to decline any application, and to decline or discontinue any programme where the destination market, intended positioning or proposed labelling would place either party in breach of applicable law.

04 Minimum order quantities

The minimum order quantity is 1,000 boxes per flavour. Each flavour is counted separately when calculating the MOQ.

Scope MOQ
Each flavour 1,000 boxes

An order containing multiple flavours must meet the 1,000-box minimum for every flavour included.

05 Sampling programme
Step Detail
Feasibility review Free. We assess whether the brief is manufacturable and flag any market or ingredient constraint before you spend anything
Development sample Chargeable. Covers formulation, small-batch production and courier
Revision rounds 2 rounds included in the development fee; further rounds chargeable
Pre-production sample Produced on the production line and formally approved by you in writing before mass production

The signed pre-production sample approval is the reference against which the production batch is judged. No production begins without it.

Sampling fees may be credited against the first production order — see our Payment Policy for the applicable window and amount.

06 Pricing
  • Pricing is quoted per SKU and is volume-tiered. Higher committed volumes attract lower unit pricing.
  • Quotations are valid for 30 days.
  • Prices exclude tooling, plates, moulds, freight, insurance, duties and destination-market taxes unless expressly stated.
  • Annual or multi-order volume commitments can be structured with agreed pricing and reserved capacity. Contact us to discuss.
07 Intellectual property
Item Ownership
Your brand, trademarks, artwork and pack design Yours. We use them only to fulfil your order and never on any other customer's product
A formula you supply to us Yours
A formula we develop specifically for you, and paid for by you as a development project Yours, on the terms recorded in the project agreement or PI
Our base formulations, manufacturing processes, know-how and production methods Ours, and not transferred by the sale of goods
Tooling and plates you have paid for Right of use is yours; physical custody remains with us — see Payment Policy

We treat every customer brief, specification and formula as confidential. We do not disclose a customer's programme, formula, volumes or commercial terms to any third party, and we do not offer a customer's bespoke developed formula to another customer.

We ask the same of you regarding our pricing, process documentation and technical disclosures.

08 Exclusivity and territory

Exclusivity is not granted by default. Where a customer requires category, formula or territorial exclusivity, it can be agreed separately and is normally linked to a minimum volume commitment over a defined term. Any exclusivity must be recorded in a written agreement — it cannot be created by correspondence or by past order history.

09 Trademarks and brand conduct

The customer warrants that it owns, or is licensed to use, every trademark, brand name, logo, slogan and design element supplied to us for production, and that use of those elements in the destination market does not infringe any third party's rights.

We will not manufacture any product whose branding, get-up, name or packaging imitates or is confusingly similar to an existing third-party brand. This includes lookalike pack design, adapted wordmarks and comparative "equivalent to" pack copy. Requests of this kind will be declined.

The customer indemnifies Scream Caffeine against any claim arising from the customer's brand elements or pack copy.

10 Regulatory conduct

The customer is responsible for the lawful marketing and sale of the finished product, and agrees that it will not:

  • Sell or supply the product in any market where it is prohibited, or where required authorisations, notifications or ingredient clearances have not been obtained;
  • Make therapeutic, medicinal or disease-treatment claims for any product we manufacture, unless the product has been formally authorised for such claims in that market;
  • Use health or function claims that are not permitted for the ingredient and dose in the destination market;
  • Present the product in a manner that targets minors, or disregard any age or advisory statement required for the category in the destination market;
  • Alter the formula, batch coding, labelling or expiry information applied at manufacture.

We keep claims language conservative at the manufacturing and documentation stage. Final marketing copy is the customer's responsibility, and we recommend local regulatory review before launch in any new market.

11 Quality and product liability
  • Every batch is manufactured against the approved specification, with in-process and finished-goods checks recorded at batch level.
  • A Certificate of Analysis is issued for each production batch.
  • Retention samples and batch records are held for the period stated in the approved specification.
  • Quality claims follow the procedure and time limits in our Shipping Policy.
  • Our liability in respect of any order is limited to the invoiced value of the goods concerned, save where such limitation is not permitted by applicable law.
  • Product liability insurance for the finished product in the destination market is the customer's responsibility. Confirm your cover before launch.
12 Repeat orders and forecasting

Repeat orders reference the original approved specification and sample. Where a repeat order is placed more than 12 months after the last run, we may request a fresh sample approval to confirm that raw-material and packaging sources remain aligned.

Customers planning continuous supply are encouraged to share a rolling forecast. Forecasts allow us to reserve capacity and pre-position long-lead-time raw materials and packaging, which materially shortens repeat lead times.

13 Termination

Either party may end a commercial relationship on written notice. Orders already confirmed at the date of notice will be completed and paid for under the terms of their Proforma Invoice. Confidentiality and intellectual property obligations survive termination.
